These Terms & Conditions ("Terms") govern the access to and use of the Eduware® Online platform, website, and related services (collectively, the "Service"). The purpose of these Terms is to ensure clarity, fairness, and predictability in our association.

By accessing our website, enrolling for evaluation, or using the Service in any manner, you acknowledge that you have read, understood, and agreed to these Terms.


1. Parties to This Agreement

  • “We”, “us”, “our” refer to Turning Point, the owners and operators of the Eduware® Online school management software and its associated services.
  • “Eduware” refers to the Eduware® Online platform itself.
  • "School", "Institution", "you", "your" refer to the educational institution or its authorised representatives.

These Terms apply equally to visitors, evaluation users, and paid subscribers unless explicitly stated otherwise.

2. Scope of Services

Eduware® Online is a cloud‑based school management platform providing academic, administrative, and operational tools. The availability of features may vary based on evaluation or subscription status and may evolve over time as the platform enriches.

The Service is licensed strictly for institutional use and may not be resold, transferred, or sublicensed in any form.

3. Evaluation Offer

Evaluation access is provided solely for first‑time users of Eduware® Online and is limited to one free evaluation account per school.

During evaluation:

  • Access is provided free of charge.
  • Feature limitations may apply, including but not limited to caps on number of users, unavailability of data export options, and non‑availability of bulk SMS and WhatsApp messaging.
  • Mobile apps under the institution’s name on official app stores are not provided during evaluation.
  • Data entered during evaluation remains accessible to the school, subject to the conditions below. Continued use beyond the evaluation period requires explicit conversion to a paid subscription.

We reserve the right to withdraw or modify the evaluation offer at any time, or revoke free access in cases of misuse, abuse, fraudulent registration, or violation of these Terms.

4. Student Count & Billing Basis

For all pricing, billing, and invoicing purposes, a chargeable student is defined as:

Any student record that is marked as "Studying" in the system, in any academic session, on the date when the student count is calculated for billing.

Students remaining active in past academic sessions due to non-promotion, non-withdrawal, or administrative oversight are also included in the active count. It is the school’s responsibility to maintain accurate student status across all sessions.

Once an invoice is raised, student counts will not be revised or altered, irrespective of later corrections made by the school.

5. Subscription, Pricing & Invoicing

  • Pricing is calculated per chargeable student per month, as displayed on the Pricing page.
  • Invoices are generally raised in advance for the applicable billing cycle.
  • Invoices and billing-related communications are sent primarily to the registered email ID of the institution.
  • All prices are exclusive of applicable taxes unless stated otherwise.

The student count mentioned on an issued invoice shall be deemed final for that billing cycle.

6. Payments

Payments against invoices must be made to the bank accounts mentioned on the invoice using permitted modes, including electronic transfer, cheque, or cash.

We shall not be responsible for any payment made into a bank account other than those explicitly mentioned on the invoice. Cash payments not immediately acknowledged by us in writing shall also not be considered valid.

Invoices must be cleared within the time period stated therein. Failure to do so may result in temporary suspension of access without affecting the original billing cycle.

Suspension due to non‑payment does not entitle the school to any compensation or adjustment.

7. Add‑On Services (SMS, WhatsApp)

  • Bulk SMS and WhatsApp messaging are chargeable add‑on services and attract additional costs based on quantity and prevailing market rates.
  • These services are payable 100% in advance.
  • Regulatory formalities mandated by TRAI and Meta are the sole responsibility of the school.

Our role is limited to guidance and technical assistance. Failure to complete regulatory requirements does not constitute a service lapse and does not qualify for refunds.

8. Support & Communication

  • Customer support is provided via phone and email during official working hours as listed within the ERP.
  • Remote assistance is provided exclusively via AnyDesk when required.
  • Site visits are undertaken only when operationally necessary or mutually agreed.

All official communication, including cancellation or resumption requests, must originate from the registered email ID or contact numbers provided during enrolment. Requests from unregistered sources may be declined.

9. Data Ownership, Usage & Retention

  • Schools retain ownership of their data.
  • We does not share identifiable customer data with any third party.
  • Aggregated and anonymised data may be used internally for analytics and product improvement.

Raw database access or raw data exports are not provided under any circumstances. Paid users may export data only through built‑in ERP features. Evaluation accounts do not include export functionality.

10. Account Suspension & Deletion

Evaluation Accounts

  • Evaluation accounts remain accessible even after expiry.
  • The account must be logged into at least once every three months.
  • Accounts inactive for three months may be suspended.
  • Suspended accounts not formally resumed within the next six months may be permanently deleted.

Paid Accounts

  • Accounts suspended due to non‑payment are restored upon full settlement.
  • No compensation is payable for suspension periods or resulting work disruption.

Any notices related to suspension, resumption, or deletion of accounts shall be communicated exclusively to the registered email ID.

11. Responsibilities of the School

The school is responsible for maintaining accurate data, authorised use of login credentials, and compliance with applicable laws while using the Service.

12. Intellectual Property

All software, designs, workflows, and intellectual property related to Eduware® Online remain the exclusive property of Turning Point. Schools are granted a limited, non‑transferable right to use the Service during the licensed period.

We are not obligated under any circumstances to disclose the software architecture, source code, database structure, or internal system design to any party.

13. Feedback & Enhancements

User feedback is welcome; however, the decision to implement, defer, or decline any suggestion rests solely with Turning Point. All enhancements must align with the platform’s architecture, roadmap, and operational feasibility.

14. Service Availability & Operational Limitations

While we strive for high availability, uninterrupted access cannot be guaranteed. Temporary disruptions may occur, fully or partly, in the ERP or any add-ons, due to maintenance or circumstances beyond our control.

15. Limitation of Liability

Turning Point shall not be liable for data loss, service downtime, indirect damages, or consequential losses under any circumstances either from the ERP or any add-ons.

No financial liability is assumed beyond access to the Service as provided.

16. Modifications to Terms or Service

We reserve the right to modify these Terms or the Service at any time. Updated Terms will be published on this page, and continued usage constitutes acceptance.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject exclusively to the jurisdiction of Varanasi, Uttar Pradesh.

18. Contact & Acknowledgement

We encourage schools to review these Terms carefully and, if needed, print and retain a copy for reference. Clear understanding today prevents friction tomorrow.
